Terms of Service

The rules that govern your use of YSKAIPE.

Plain-English summary YSKAIPE is a marketplace that introduces homeowners to local contractors and shows fair-price data so both sides negotiate from the same starting point. We do not perform the work, employ the contractors, or guarantee the outcome. The contract for the actual home-services work is directly between you and the contractor you choose.

1. Acceptance of terms

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "User") and Peaking Waters LLC, a North Carolina limited liability company doing business as YSKAIPE ("YSKAIPE," "we," "us," or "our"). By creating an account, submitting a job request, claiming a lead, or otherwise accessing or using the YSKAIPE website, mobile site, application, or related services (collectively, the "Platform"), you agree to these Terms and to our Privacy Policy.

If you do not agree to these Terms, you must not use the Platform.

If you are a contractor, service provider, or any other business entity using the Platform to offer services, the Contractor Subscription Agreement also applies to you and, where inconsistent with these Terms, controls.

Please read Section 13 (Dispute Resolution) carefully. It requires most disputes to be resolved through binding individual arbitration and contains a class-action waiver.

2. YSKAIPE's role as a marketplace

YSKAIPE operates an online marketplace that (a) allows homeowners to describe home-services projects, (b) uses matching technology to surface qualified contractors, and (c) provides a Fair Rate Index that gives both parties a shared reference point for pricing.

YSKAIPE is a marketplace only. We do not employ, supervise, license, or control contractors. We do not perform, sell, guarantee, warrant, or insure any home-services work offered or performed through the Platform. Contractors are independent businesses that set their own prices, scope their own work, hold their own licenses and insurance, and are solely responsible for the work they perform.

Any agreement for the performance of home-services work is entered into directly between the homeowner and the contractor. YSKAIPE is not a party to that agreement, is not an escrow agent, and does not handle payment for the work itself.

3. Accounts and eligibility

3.1 Eligibility

To use the Platform you must be at least 18 years old, legally able to enter binding contracts, and not barred from using the Platform under the laws of the United States or your state of residence.

3.2 Account creation

Some features require an account. When you create one, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3.3 Magic-link authentication

We use email-based "magic link" authentication. You are responsible for securing the email account associated with your YSKAIPE account. Anyone with access to that email inbox can potentially access your YSKAIPE account.

4. Use by homeowners

4.1 What the Platform does for you

As a homeowner, the Platform lets you describe a project, receive the Fair Rate Index for that project type in your ZIP code, and receive responses from matched contractors. The Platform is free for homeowners.

4.2 Your responsibility for hiring decisions

You alone decide whether to hire a contractor. Before hiring, you are responsible for:

  • Verifying the contractor's license, insurance, and qualifications, including through the North Carolina Licensing Board for General Contractors or the equivalent body in your state;
  • Reviewing and negotiating the scope of work, price, timeline, warranties, and payment terms;
  • Entering into a written contract with the contractor that reflects the agreed terms; and
  • Confirming that the contractor is authorized to perform work in your jurisdiction.

4.3 Accurate project information

You agree to describe your project accurately. Submitting materially false or misleading project information wastes contractor time and undermines the marketplace; we reserve the right to suspend accounts that do so.

5. Use by contractors

Contractors' use of the Platform is additionally governed by the Contractor Subscription Agreement. That agreement covers subscription tiers, lead assignment, zip-code protection, decline/reassignment rules, cancellation, and the Founding Fifty rate lock.

By using the Platform as a contractor, you represent that you are duly licensed and insured for the trades you offer and that you will comply with all applicable laws, including those governing advertising, consumer protection, and home-improvement contracts in each state where you operate.

6. The Fair Rate Index

The "Fair Rate Index" or "FRI" is YSKAIPE's proprietary pricing benchmark, derived from market data, historical project data, and regional cost signals. It is expressed as a suggested price or range for a given project type in a given geography.

The FRI is a starting anchor, not a binding price. Both homeowners and contractors are encouraged to use the FRI as the reference point from which pricing conversations begin. A contractor may quote above or below the FRI based on site-specific conditions, materials, scope, scheduling, or other factors. A homeowner may accept, negotiate, or decline any quote.

Because pricing depends on facts YSKAIPE cannot verify (site conditions, material grades, permit costs, and similar), the FRI is provided for informational and negotiation purposes only and is not a warranty, guarantee, or representation that any particular price is correct, achievable, or market-clearing. The full FRI disclaimer is set out on the Fair Rate Index page and is incorporated into these Terms by reference.

7. Payments between users

YSKAIPE does not process payment for the underlying home-services work. Payment for services performed by a contractor is a matter between the homeowner and the contractor directly. Any dispute over the quality, timing, or payment for home-services work is between those two parties and must be resolved between them, subject to applicable consumer-protection laws.

Contractor subscription fees paid to YSKAIPE are processed by Stripe, Inc. and governed by the Contractor Subscription Agreement.

8. Prohibited conduct

You agree that you will not, and will not attempt to:

  • Use the Platform to violate any law, regulation, or third-party right;
  • Post content that is false, defamatory, harassing, discriminatory, sexually explicit, or that infringes another party's intellectual property;
  • Circumvent the Platform to avoid YSKAIPE fees after being matched through the Platform (contractor-specific — see Contractor Agreement §7);
  • Scrape, copy, or systematically extract data from the Platform, including the FRI, except as expressly permitted;
  • Reverse-engineer, decompile, or attempt to derive the source code of the Platform or the FRI algorithm;
  • Upload viruses, malware, or code designed to disrupt the Platform;
  • Use automated means (bots, scrapers, crawlers) to access the Platform without our prior written consent;
  • Impersonate any person or misrepresent your affiliation with any person or entity; or
  • Interfere with the matching engine, ratings system, or any other user's legitimate use of the Platform.

9. User content

9.1 Your content, your responsibility

"User Content" means any content you submit to the Platform, including project descriptions, photos, reviews, ratings, and messages. You retain ownership of your User Content.

9.2 License to YSKAIPE

By submitting User Content, you grant YSKAIPE a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works of, display, and distribute that User Content in connection with operating, improving, and promoting the Platform, including using anonymized and aggregated data to improve the Fair Rate Index.

9.3 Reviews and ratings

Reviews must reflect your genuine experience. We may remove reviews that violate these Terms, appear fraudulent, or are written in exchange for compensation. Contractors may not retaliate against homeowners for honest reviews.

10. Intellectual property

The Platform, the YSKAIPE name and logo, the Fair Rate Index, the matching engine, all software, text, graphics, and design elements are the property of YSKAIPE or its licensors and are protected by U.S. and international intellectual-property laws. No rights are granted to you except the limited right to use the Platform as described in these Terms.

11. Disclaimers and limitation of liability

11.1 "As is" — no warranties

The platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. YSKAIPE does not warrant that the platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that any particular content — including the fair rate index — is accurate or complete.

11.2 No warranty as to contractors or work

YSKAIPE makes no representation or warranty about any contractor, including but not limited to the contractor's licensing, insurance, skill, reliability, honesty, or the quality, safety, or legality of any work performed. Any reliance on contractor-submitted information is at your own risk.

11.3 Limitation of liability

To the maximum extent permitted by law, in no event will YSKAIPE, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the platform, even if YSKAIPE has been advised of the possibility of such damages.

YSKAIPE's aggregate liability for all claims arising out of or relating to these terms or the platform will not exceed the greater of (a) the amount you paid to YSKAIPE in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the limitation of certain warranties or liabilities, so portions of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless YSKAIPE and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your breach of these Terms; (d) your violation of any law or third-party right; or (e) your performance of, or failure to perform, home-services work arranged through the Platform.

13. Dispute resolution — arbitration and class-action waiver

Read this section carefully It affects your legal rights. It requires that most disputes be resolved by individual arbitration, and it limits your ability to bring class actions.

13.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@yskaipe.com with a written description of the dispute and the relief requested. We will attempt to resolve the dispute within thirty (30) days.

13.2 Binding individual arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, then in effect. The arbitration will be conducted in Mecklenburg County, North Carolina, or by video conference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.

13.3 Small-claims exception

Notwithstanding Section 13.2, either party may bring an individual action in small-claims court in the county of the defendant's residence or principal place of business, provided the claim qualifies and remains in small-claims court.

13.4 Class-action waiver

You and YSKAIPE each agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator has no authority to consolidate claims or preside over any form of representative proceeding.

13.5 30-day opt-out

You may opt out of Sections 13.2 and 13.4 by emailing legal@yskaipe.com with the subject line "ARBITRATION OPT-OUT" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

13.6 Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Mecklenburg County, North Carolina.

14. Termination

You may stop using the Platform at any time and request deletion of your account by emailing support@yskaipe.com. YSKAIPE may suspend or terminate your account at any time, with or without notice, for any reason, including breach of these Terms or conduct that we reasonably believe creates risk to the Platform, its users, or YSKAIPE.

Sections that by their nature should survive termination (including Sections 9.2, 10, 11, 12, 13, and 16) survive.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (to the address associated with your account) and by posting a notice on the Platform at least fifteen (15) days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform.

16. General provisions

16.1 Entire agreement

These Terms, together with the Privacy Policy and (for contractors) the Contractor Subscription Agreement, constitute the entire agreement between you and YSKAIPE regarding the Platform and supersede all prior understandings.

16.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

16.3 No waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. YSKAIPE may freely assign these Terms.

16.5 Force majeure

YSKAIPE is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemic, labor disputes, or failures of third-party services such as Stripe, Supabase, or Vercel.

16.6 Notices

Notices to YSKAIPE must be sent to legal@yskaipe.com. Notices to you will be sent to the email address associated with your account.
