Contractor Subscription Agreement

Terms governing contractor use of the YSKAIPE platform.

Plain-English summary You are paying a monthly subscription to receive leads from homeowners in your trade and service area. YSKAIPE is a marketplace; the actual job is a contract between you and the homeowner. You remain independent, set your own prices, and carry your own license and insurance. This document covers what you pay, how leads are assigned, the rules around the Fair Rate Index, and how either side can cancel.

1. Scope and incorporation

This Contractor Subscription Agreement ("Agreement") is entered into between Peaking Waters LLC, a North Carolina limited liability company doing business as YSKAIPE ("YSKAIPE," "we") and the business or individual identified in the subscription checkout flow and accepting these terms ("Contractor," "you").

This Agreement incorporates by reference, and must be read together with, the YSKAIPE Terms of Service, Privacy Policy, and Fair Rate Index Disclaimer. In case of conflict between this Agreement and the Terms of Service, this Agreement controls for Contractor matters.

2. Definitions

"Platform"
means the YSKAIPE website, mobile experience, contractor dashboard, and related services.
"Lead"
means a homeowner job request surfaced to you through the Platform's matching engine.
"Lead Assignment"
means a formal assignment of a Lead to you, recorded in YSKAIPE's lead_assignments system.
"Service Area"
means the ZIP codes you have designated as eligible for Lead delivery within your dashboard.
"Tier"
means the subscription level (Starter, Pro, or Elite) you have purchased.
"FRI"
means the Fair Rate Index, YSKAIPE's proprietary pricing benchmark.
"Founding Rate"
means the rate locked in through the Founding Fifty program, as described in Section 5.

3. Contractor eligibility

To use the Platform as a Contractor, you represent and warrant that:

  • You are a legitimate home-services business, legally formed and in good standing in your jurisdiction;
  • You hold all licenses, registrations, and certifications required by federal, state, and local law for each trade you offer and in each jurisdiction where you work, including (in North Carolina) any registration required by the NC Licensing Board for General Contractors or the equivalent trade board;
  • You carry commercial general liability insurance with minimum limits of $1,000,000 per occurrence / $2,000,000 aggregate and workers' compensation coverage where required by law;
  • You will provide proof of licensing and insurance on request and promptly notify YSKAIPE of any change in status;
  • Neither you nor any owner has been convicted of a felony in the last seven (7) years or is listed on any federal or state debarment list; and
  • You have authority to bind the business you represent to this Agreement.

4. Subscription tiers

YSKAIPE offers three subscription Tiers:

  • Starter — basic Lead access, limited Service Area, standard notification windows;
  • Pro — expanded Lead access, larger Service Area, earlier notification windows, higher lead-scoring weight;
  • Elite — highest Lead-scoring priority, largest Service Area, earliest notification, and the "Verified Pilot Pro" badge on your public profile subject to verification.

Current pricing for each Tier is displayed on the Platform at the time of purchase and constitutes part of this Agreement when you select a Tier. YSKAIPE may change Tier pricing or features prospectively on thirty (30) days' notice, except as otherwise stated in Section 5.

Tier benefits, including scoring weights, notification delay windows, and zip-protection caps, are implemented as described in the dashboard at the time of purchase and may be tuned by YSKAIPE to maintain marketplace health, provided the changes do not materially reduce the benefits of your Tier.

5. Founding Fifty program

5.1 Who qualifies

The "Founding Fifty" program is limited to the first fifty (50) Contractors who activate a paid subscription on or before the Founding Fifty close date announced on the Platform.

5.2 Founding Rate lock

Founding Fifty members receive a Founding Rate on their selected Tier. The Founding Rate is locked for as long as the Contractor maintains an uninterrupted, active, paid subscription. A lapse in subscription of more than thirty (30) days for any reason terminates the Founding Rate, and the Contractor may re-subscribe only at then-current rates.

5.3 Founding Fifty benefits

In addition to Tier benefits, Founding Fifty members receive priority support, early access to new features, and recognition on the Platform as founding partners. These benefits may be discontinued or modified on sixty (60) days' notice, except that the Founding Rate itself may not be increased except as provided in Section 5.2.

6. Lead assignment

6.1 Matching engine

Leads are surfaced using YSKAIPE's matching engine, which weighs trade match, subscription Tier, geographic proximity, and loyalty score (capped at 60 points). Scoring methodology is proprietary and may be adjusted to improve marketplace outcomes.

6.2 Assignment flow

When a homeowner selects you from among surfaced contractors, a formal Lead Assignment is written to the lead_assignments system with lifecycle states including pending, accepted, declined, and reassigned. You are responsible for responding to assigned Leads within the acceptance window displayed in the dashboard.

6.3 Decline and reassignment

You may decline an assigned Lead without penalty for a good-faith reason (for example, scope outside your capability, outside your Service Area, or capacity constraints). Repeated declines without good-faith reason may reduce your loyalty score and affect Tier priority. Declined Leads may be reassigned to another eligible Contractor through the admin reassignment process.

6.4 No guarantee of Lead volume

YSKAIPE does not guarantee any particular volume, quality, or conversion rate of leads. Your results will depend on market demand, your Service Area, your responsiveness, your pricing, and homeowner choice.

7. Zip-code protection

Each Tier includes a "zip-code protection cap" limiting the number of other Contractors in the same trade and ZIP code whom YSKAIPE will actively surface simultaneously for a given project type. The current cap for your Tier is displayed in the dashboard.

Zip-code protection is a marketplace-design feature, not an exclusivity right. It does not prevent homeowners from finding or contacting other contractors through other means, and it does not create a territory, franchise, or exclusive-dealing relationship.

8. Fair Rate Index — contractor obligations

You acknowledge and agree that the Fair Rate Index is YSKAIPE's proprietary pricing benchmark and that it functions as a starting anchor for pricing conversations with homeowners.

You agree that, when quoting Platform Leads, you will:

  • Use the FRI as the reference point from which your quote is built;
  • Clearly communicate any deviation from the FRI, with a reasonable explanation, when quoting materially above or below the FRI for the same scope;
  • Not use the Platform to systematically advertise or quote prices that are misleading, bait-and-switch, or that you do not intend to honor; and
  • Honor the quoted price for the scope agreed with the homeowner, subject to documented change orders.

Nothing in this Section requires you to quote at any particular price. You retain full pricing authority and liability for your own pricing decisions. YSKAIPE does not fix, set, or enforce prices.

9. Anti-circumvention

For twelve (12) months after you are matched with a homeowner through the Platform, you agree not to:

  • Intentionally route further work with that homeowner off-Platform solely to avoid YSKAIPE's fees, when the underlying project is a continuation or direct follow-on of the Platform-originated project; or
  • Solicit the homeowner to bypass the Platform for services substantially similar to those originally requested.

Nothing in this Section prevents legitimate direct contracting with a homeowner for genuinely new or unrelated work, or continuation of a relationship that predated the Platform match.

10. Service quality standards

You agree to maintain a minimum service quality standard including:

  • Responding to Lead assignments within the displayed acceptance window;
  • Arriving as scheduled or communicating promptly if rescheduling is necessary;
  • Performing work in a professional and workmanlike manner consistent with applicable building codes and industry standards; and
  • Carrying and honoring any warranty required by law or contractually offered.

YSKAIPE may remove Contractors from the Platform who receive sustained negative ratings, multiple verified complaints, or regulatory violations.

11. Independent contractor status

Nothing in this agreement creates a partnership, joint venture, agency, franchise, or employment relationship between YSKAIPE and the contractor. The contractor is an independent business. The contractor alone controls the manner and means of performing work, sets prices, hires and compensates any workers, carries all required licenses and insurance, and bears all business risk. YSKAIPE does not provide tools, vehicles, training, or direction for the work itself.

You are solely responsible for all taxes arising out of your work, including income tax, self-employment tax, and any applicable sales or use tax. YSKAIPE will not withhold taxes on your behalf. You are responsible for any filings required in the jurisdictions where you operate.

12. Billing and cancellation

12.1 Subscription billing

Subscriptions are billed monthly in advance, on the day of each calendar month corresponding to your initial subscription date, through Stripe, Inc. Your authorization of the initial charge authorizes recurring charges at the then-applicable rate until cancelled.

12.2 Failed payments

If a payment fails, we will attempt to collect through standard Stripe retry logic. If collection fails after seven (7) days, your subscription will be suspended. If suspended for more than thirty (30) days, your subscription, including any Founding Rate, will terminate and you will need to re-subscribe at then-current rates.

12.3 Cancellation by you

You may cancel any time from the dashboard. Cancellation stops future billing. The current billing period is not refunded unless required by law or expressly offered. Lead Assignments already in flight remain your responsibility through completion or reassignment.

12.4 Refund policy

Subscription fees are non-refundable. We do not offer refunds for unused portions of a billing period, for Leads you declined, or for dissatisfaction with Lead volume or quality. Refund requests based on Platform error (e.g., double-billing) should be sent to billing@yskaipe.com.

12.5 Price changes

Subject to Section 5 (Founding Rate), YSKAIPE may change subscription prices on thirty (30) days' notice by email. Continuing your subscription past the effective date is acceptance of the new price.

13. Suspension and termination

YSKAIPE may suspend or terminate your subscription, with or without notice, for:

  • Breach of this Agreement, the Terms of Service, or applicable law;
  • Loss of any required license or insurance;
  • Repeated negative reviews, verified quality complaints, or consumer-protection violations;
  • Fraudulent or manipulative use of the Platform or the FRI;
  • Conduct that creates material risk to homeowners, other Contractors, or YSKAIPE; or
  • Failure to pay subscription fees as provided in Section 12.

On termination, your access to Leads ends immediately. Sections that by their nature should survive termination, including 8 (FRI), 9 (anti-circumvention), 11 (independent-contractor status), 14 (warranties), 15 (indemnification), and 16 (disputes), survive.

14. Contractor warranties and disclaimer by YSKAIPE

You warrant that (a) you have authority to enter this Agreement, (b) your use of the Platform will comply with all laws and third-party rights, (c) you hold and will maintain all required licenses and insurance, and (d) all information you provide through the Platform, including in your profile and quotes, is accurate and not misleading.

Other than as expressly set forth in this agreement, the platform is provided to the contractor "as is" and YSKAIPE disclaims all warranties as set forth in section 11 of the Terms of Service. YSKAIPE makes no representation or warranty about lead volume, lead conversion, homeowner behavior, FRI accuracy, or the financial outcomes of your use of the platform.

15. Indemnification

You agree to indemnify, defend, and hold harmless YSKAIPE and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your performance or non-performance of home-services work; (b) your breach of this Agreement, the Terms of Service, or applicable law; (c) any personal injury or property damage caused or alleged to be caused by you, your workers, or your subcontractors; (d) any tax, wage, or employment-classification claim brought by any person performing work for you; and (e) any dispute between you and a homeowner regarding the quality, scope, or price of work.

16. Dispute resolution

Disputes between you and YSKAIPE are resolved as set out in Section 13 of the Terms of Service (informal resolution, binding individual arbitration, small-claims carve-out, and class-action waiver), which is incorporated by reference. Disputes between you and a homeowner are between the two of you and are not arbitrated through YSKAIPE's AAA arbitration provision.

17. General

17.1 Entire agreement

This Agreement, together with the Terms of Service, Privacy Policy, and Fair Rate Index Disclaimer, is the entire agreement between you and YSKAIPE regarding Contractor use of the Platform.

17.2 Amendment

We may amend this Agreement on thirty (30) days' email notice. Your continued use after the effective date is acceptance. For Founding Fifty rate terms, see Section 5.

17.3 Severability and survival

If any provision is unenforceable, the remainder stays in effect. Sections that by their nature should survive termination do survive.

17.4 Assignment

You may not assign this Agreement without our prior written consent. YSKAIPE may freely assign this Agreement.

17.5 Notices

Notices to YSKAIPE: legal@yskaipe.com. Notices to Contractor: the email address on file.

17.6 Governing law

This Agreement is governed by the laws of North Carolina. For any claim not subject to arbitration, venue is Mecklenburg County.

Acknowledgment By activating a paid subscription, you acknowledge that you have read and understood this Agreement and agree to be bound by it. Your acceptance is recorded with a timestamp, version number, and the IP address from which you accepted.
